Welcome to Elsy. These Terms of Service ("Terms") govern your access to and use of the Elsy application and related services (collectively, the "Service") provided by Elsy Labs Pte. Ltd. ("Elsy," "we," "us," or "our"), a company registered in Singapore. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Elsy is an AI-powered voice companion designed for elderly people, including those living with dementia and other cognitive conditions. The Service enables patients to have natural voice conversations with an AI companion, and provides caregivers with wellbeing insights and summaries.

Elsy is not a medical device. The Service is not intended to diagnose, treat, cure, or prevent any disease or medical condition. It is a communication and wellbeing monitoring tool only. Wellbeing scores are AI-generated estimates based on conversational patterns, not clinical measurements. In any emergency, call your local emergency number.

2. Eligibility

Caregivers must be at least 18 years of age and have the legal capacity to agree to these Terms.
Patients use the Service with the knowledge and consent of their caregiver. Where a patient is unable to consent independently due to cognitive impairment, the caregiver must have appropriate legal authority to consent on their behalf (e.g., Lasting Power of Attorney, court-appointed deputyship, or as next-of-kin acting in the person's best interest).
The Service is not directed at children under 18 years of age.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information when creating your account and keep it updated. Each person may maintain only one account.

If you create an account on behalf of a patient, you represent that you have the legal authority to do so and to consent to these Terms and the Privacy Policy on their behalf.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Attempt to harm, abuse, harass, or exploit the AI companion or other users.
Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
Use the Service to generate content that is harmful, misleading, or violates the rights of others.
Interfere with or disrupt the integrity or performance of the Service.
Share your account credentials with others or allow unauthorized access to your account.

5. AI Limitations

Elsy uses artificial intelligence to generate responses and insights. You acknowledge that:

AI-generated responses may contain errors, inaccuracies, or misinterpretations. Elsy may occasionally misunderstand or misremember information.
Wellbeing assessments (mood, confusion, repetition scores) are pattern-based estimates, not clinical measurements. They should never be used as a substitute for professional medical evaluation.
Safety alerts are based on keyword and pattern detection and may produce both false positives and false negatives. Caregivers should always verify a patient's wellbeing through direct personal contact.
The AI companion is not a licensed healthcare provider, therapist, counselor, or emergency responder.

6. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy.

7. Intellectual Property

The Service, including its design, software, AI models, and content, is owned by Elsy Labs Pte. Ltd. and is protected by intellectual property laws. You retain ownership of your personal data and conversation content.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

8. Termination

You may stop using the Service and request deletion of your account at any time by contacting us at hello@helloelsy.com.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, or for any other reason at our discretion. Upon termination, we will delete your personal data in accordance with our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate, complete, or reliable.
In no event shall Elsy Labs Pte. Ltd. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or damages arising from reliance on AI-generated wellbeing assessments or safety alerts.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or SGD 100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Elsy Labs Pte. Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another person.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of Singapore.

13. General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Elsy Labs Pte. Ltd. regarding the Service.
